Tiltnote Terms of Use

Established: October 18, 2026 / Last updated: October 24, 2026. These Terms are an English translation of the Japanese 利用規約.

Article 1 (About these Terms)

  1. These Terms set out the conditions for using “Tiltnote” (Japanese name: “トレ感情日記”): the app, the web version and the tiltnote.com website (together, the “Service”).
  2. The Service is run by “Kenji Okumura, Representative, Tiltnote” (the “Operator”). The Operator’s address and phone number are as stated in the Commercial Disclosure.
  3. By using the Service, you agree to these Terms.

Article 2 (What the Service is, and that it is not investment advice)

  1. The Service is a journal and record-keeping tool that lets you record your trades, your feelings and whether you kept to your rules, and look back on them.
  2. The Service is not investment advice, not a recommendation or a trading decision, and not a solicitation or introduction of any financial product or broker. The Operator is not a financial instruments business operator (including investment advisory and agency business).
  3. What the Service shows (analysis, numbers, charts, notifications, articles, calculators and so on) is your own records, organized for you. It is not a forecast of future profit or loss, and not a guarantee or promise of profit.
  4. Trading (such as forex) carries the risk of losing your capital. All trading decisions and their results are your own responsibility.
  5. The web version and the latest Android app show no ads, and the Service takes no referral fees from other companies.

Article 3 (Accounts)

  1. You can use the Service by registering with an email address, or by choosing “Try without signing up” (anonymous sign-in). With anonymous sign-in, you may lose access to your data if you clear data on your device or browser.
  2. You manage your own account information. You must not let others use your account, or lend or sell it.
  3. If you are under 18, please use the Service with the consent of a parent or guardian.

Article 4 (Paid plan, prices and automatic renewal)

  1. The prices of the paid plan (monthly and yearly, in Japanese yen or US dollars, and the countries and regions where it is sold) are those stated in the Commercial Disclosure. The Android version costs 600 yen per month (tax included) in Japan; outside Japan it is 9.99 US dollars per month in the United States and, in other countries and regions, the price shown on the Google Play purchase screen.
  2. The paid plan is a subscription. The monthly plan renews automatically every month and the yearly plan (web version only) every year, and the price for the next period is charged on the renewal date. To stop renewal, cancel before the next renewal date.
  3. The change of the Japanese yen prices from April 1, 2027, and keeping the current price for those who subscribe by March 31, 2027, are as stated in the Commercial Disclosure.
  4. You pay through Stripe (our payment provider) for the web version and through Google Play for the Android version. Card numbers and other payment details are handled by those companies; the Operator does not keep them.
  5. If we change the price, we will tell you in the app or by email at least 30 days before the change, and the new price applies from your next renewal.
  6. When you pay in a foreign currency, your card company may charge a currency conversion fee.
  7. The free plan, the trial and the paid plan differ as follows.
    • Free plan: you can keep logging trades by hand or by CSV for free. Analysis, the calendar and history show and count the last 2 weeks only, and some breakdowns by market session and by strategy are available only on the paid plan. Older records are not deleted (the paid plan shows them all again).
    • Trial: for 14 days from the day you start (the day your account is created), you can try every analysis feature free. It does not include automatic recording from MT4/MT5 or loss-limit alerts. No payment details are needed and you are never charged automatically.
    • Paid plan: all-time analysis, automatic recording from MT4/MT5, loss-limit alerts and more.

Article 5 (Cancellation and refunds)

  1. You can cancel at any time. For the web version, you can cancel yourself on the page (Stripe’s customer page, which you enter through a link sent to your registered email) that opens from “Manage or cancel paid plan” in the app’s Settings; you can also email contact@tiltnote.com from the email address you registered with. For the Android version, use Subscriptions in Google Play.
  2. If you cancel before your next renewal date, you will not be charged again. After you cancel, you can keep using the paid plan until the end of the period you have already paid for. There is no cancellation fee or penalty.
  3. Change of mind: We do not give refunds if you simply change your mind. This includes cancelling in the middle of a billing period (no pro-rated refunds) and cancelling right after you sign up.
  4. Your rights under consumer law: Nothing in these Terms excludes, restricts or modifies any right or remedy you have under laws that cannot be excluded, including the consumer guarantees under the Australian Consumer Law and the New Zealand Consumer Guarantees Act 1993. For example, if the paid plan has a major failure, or a minor failure that we do not fix within a reasonable time, you may be entitled to cancel and get a refund for the unused part of the period you paid for.
  5. Our mistakes and faults: If you were charged by mistake, such as being charged twice, we will refund the incorrect charge. If the service has a fault, we will fix it or, where the law requires, give you a refund or other remedy.
  6. In the web version, if we refund the full price of a yearly plan at your request, the paid plan ends on the day of the refund. In that case we also cancel the subscription, so it does not renew and you are not charged again. If we refund because of our own mistake (such as a double charge), or refund a monthly charge or part of a charge, you can keep using the paid plan until the end of the period you have already paid for. In that case the subscription continues and, unless you cancel, renews as usual on the next renewal date.
  7. For the Android version, refunds also follow Google Play’s rules.

Article 6 (Your data)

  1. You own the data you enter or connect (trade records, deposits and withdrawals, notes, tags, settings and so on). The Operator uses it only as far as needed to provide, maintain and improve the Service.
  2. Personal information is handled as set out in the separate Privacy Policy. Only with your consent, we use statistics aggregated so that no individual can be identified, to improve the Service.
  3. You can delete your data at any time from Settings > Account > Delete account in the app. Deleted data cannot be restored. Deleting your account does not stop a paid plan in the Android version (Google Play). Cancel it in Google Play subscriptions before you delete your account.
  4. If you delete your account in the latest version of the app (web version), a paid plan in the web version stops at the end of the current period (no refund, and no further charges). If the app cannot confirm your subscription, for example because of a connection problem, it will tell you. In that case, cancel first in Settings > “Manage or cancel paid plan”, and then delete your account. Some subscriptions, such as ones started from an older payment link, may not be stopped automatically.
  5. To guard against data loss, we recommend that you also keep your own copy of important records.

Article 7 (Prohibited acts)

  1. You must not do any of the following.
    • Break the law or public order and morals, or infringe other people’s rights
    • Damage the Service or put a load on it (unauthorized access, excessive automated access, analyzing, copying, modifying or disassembling it)
    • Obtain paid-plan rights improperly (avoiding payment, or improperly obtaining or reselling serial codes)
    • Use another person’s account or data
    • Provide or sell what the Service shows to third parties in a way that makes it look like investment advice or a guarantee of profit
    • Slander the Operator or other users, or cause them trouble
    • Any other act the Operator reasonably judges to be inappropriate
  2. Despite this Article, anything the Operator distributes under the MIT License or another license (such as the tool collection) may be used under the terms of that license.

Article 8 (Suspension and termination)

If you violate Article 7, the Operator may suspend your use or delete your account without prior notice. In that case, amounts you have already paid are not refunded. However, if we suspend your use or delete your account by our own mistake when there was no violation, we will refund the part of the period you have paid for that you could not use. This also does not limit any right you have under laws that cannot be excluded, including Australian and New Zealand consumer law.

Article 9 (Intellectual property)

The rights to the screens, text, programs, logo and so on of the Service belong to the Operator (or to third parties who hold them). You obtain only the rights needed to use the Service within these Terms.

Article 10 (Disclaimer)

  1. The Operator does not guarantee that the Service is accurate, complete, fit for a particular purpose or free of interruption. If a calculation result or display is wrong, we will try to correct it as far as we can.
  2. The Operator is not responsible for the results of trading, including profit, loss and lost opportunities.
  3. The Operator is not responsible for damage caused by natural disasters, communication failures, failures or changes of outside services such as Google, Stripe, Firebase, Cloudflare and RevenueCat, or problems with your device, unless the damage is caused by a reason attributable to the Operator.
  4. This Article does not exempt the Operator from damage caused by its intentional acts or gross negligence, or from damage that cannot be exempted by law. Where the Operator is liable, compensation is limited to the paid-plan fees you paid in the last 12 months (except in cases of intentional acts or gross negligence). This does not limit any right you have under laws that cannot be excluded, including Australian and New Zealand consumer law.

Article 11 (Changing or ending the Service)

  1. The Operator may change or end the Service. If we stop offering the paid plan, we will tell you at least 30 days beforehand and, for the period you have already paid for, we will take measures such as refunding on a case-by-case basis.
  2. If we end the whole Service, we will tell all users, including those on the free plan, in the app or on this website at least 30 days beforehand.

Article 12 (Changes to these Terms and notice)

  1. The Operator may change these Terms without your individual consent, under Article 548-4 of the Civil Code of Japan, only where the change is in your general interest, or the change does not go against the purpose of the contract and is reasonable in light of the need for the change, the appropriateness of the new terms and other circumstances.
  2. When we change these Terms, we will set the date the change takes effect and post, on this page before that date, the fact of the change, the new Terms and that date.
  3. For changes that are unfavourable to you, or that concern prices, cancellation, refunds or handling of data, we will also notify you in the app or by email at least 30 days before the change takes effect. A price change applies from your first renewal after that date and never to a period you have already paid for.
  4. Changes that do not change the substance, such as correcting typos, may take effect on the day they are posted.
  5. If you do not agree, you may cancel before the change takes effect, and you will not be charged under the changed terms.

Article 13 (Governing law and courts)

  1. These Terms are governed by the laws of Japan.
  2. The court with jurisdiction under Japanese law will be the court of first instance for disputes about the Service. However, users outside Japan do not lose the rights that the law of their own country gives them.

Article 14 (Early user campaign)

  1. The Operator runs a campaign, aiming for about 50 people, that gives a period in which they can use the paid-plan features for free (the “free period”). Applications are accepted on the application page of our website, and everyone who meets the application requirements is accepted. If applications greatly exceed that number, we may decide who is accepted mainly by the order of applications, giving priority to people who use the EA with MT4/MT5. We tell accepted people by email.
  2. The free period is 90 days. For people accepted by October 31, 2026, it starts on November 1, 2026. For people accepted later, it starts on the day they are accepted. Dates are counted in Japan time.
  3. You are not charged during the free period. When it ends, you go back to the free plan and are never charged automatically. Paid features such as automatic recording through the EA stop, but your existing records are kept.
  4. When the end of your free period gets close, we will show an offer to buy the first year of the yearly plan at half of the yearly price at the time you buy, on the pricing screen in the app and on our website (only for people in countries where the yearly plan can be bought; the countries and prices are as listed in the Commercial Disclosure). You can take the offer until 30 days after your free period ends. The half price is for the first year only. From the second year, the plan renews automatically every year at the regular yearly price (you can cancel at any time, as set out in Articles 4 and 5).
  5. We may ask for your thoughts or bug reports, but sending them is up to you. You keep the free period even if you send nothing. We never ask for ratings or reviews in an app store or anywhere else. We publish your thoughts only if you allow it, marked as from an early user who received the service for free.
  6. If there is misuse, such as one person applying many times, the Operator may cancel the free period. If we have to change or end the campaign for unavoidable reasons, we will tell the people in it by email. Except in cases of misuse, we will not shorten a free period that has already been given.

Revision history
October 24, 2026 (additions that are not unfavourable to users; effective on the day they are posted on this page): In Article 5, we made clear that a full refund of a yearly plan ends the paid plan on the day of the refund only when you asked for the refund, not when we refund because of our own mistake (such as a double charge). In Article 6, we added that the app will tell you when it cannot confirm your subscription, that you should then cancel first and delete your account afterwards, and that some subscriptions, such as ones started from an older payment link, may not be stopped automatically. In Article 5, we added that when we fully refund a yearly plan at your request, we also cancel the subscription so that it does not renew and you are not charged again, and that the subscription continues after a refund for our own mistake and the other refunds listed there (this describes how refunds already work; nothing has changed). In Article 7, we narrowed “any other act” to acts the Operator “reasonably” judges to be inappropriate. In Article 8, we added that if we suspend your use or delete your account by our own mistake when there was no violation, we refund the part of the period you could not use.
October 23, 2026 (this revision adds how the Service already works and terms that are not unfavourable to users, and takes effect on the day it is posted on this page. At the time of this revision, there were no paid subscriptions on the web version, so no user was disadvantaged by the additions about refunds and cancellation in Articles 5 and 6):In Article 2, we changed the sentence about ads to refer to the latest Android app. In Article 4, we added how the free plan, the 14-day trial and the paid plan differ. In Article 5, we added how long you can use the paid plan after a refund. In Article 6, we added what happens to a paid plan when you delete your account. In Article 11, we added notice when we end the whole Service. In Article 14, we changed where we show the discount offer from email to the pricing screen in the app and our website (the discount and the deadline are unchanged). In Article 14, we added that everyone who meets the application requirements is accepted.
October 22, 2026 (early user campaign): We added the early user campaign (free period and the discount after it) as Article 14 and moved Contact to Article 15. This change is not unfavourable to users, so it takes effect on the day it is posted on this page.
October 22, 2026 (this revision does not change any price or cancellation condition; it adds what the Commercial Disclosure already states and a cancellation method that already exists, and takes effect on the day it is posted on this page): In Article 4, we added the yearly and US dollar prices, the renewal periods, and the change of the Japanese yen prices in April 2027 (as stated in the Commercial Disclosure). In Article 5, we added “Manage or cancel paid plan” in the app’s Settings as a way to cancel the web version. In Article 7, we added how items distributed under the MIT License or other licenses are treated. We will give separate notice of the price change itself under Article 12.
